3. Intellectual Property Rights
Unless explicitly agreed upon in a custom written client agreement:
- Client Deliverables: Upon full payment of project fees, the intellectual property rights for custom code, assets, and deliverables specifically created for the client shall transfer to the client.
- Agency Assets: Pre-existing frameworks, proprietary code libraries, tools, and brand elements owned by SAMAYARA IT SOLUTION remain the exclusive property of SAMAYARA IT SOLUTION.
4. Payment Terms & Invoicing
Payment terms for software projects, website engineering, or digital marketing campaigns are outlined in individual project proposals or invoices. Clients agree to fulfill milestone payments strictly according to agreed schedules. Project deliverables will be handed over upon complete clearance of all final balances.
5. User Responsibilities & Conduct
Clients and website visitors agree not to use our digital assets, code, or services for any unlawful, fraudulent, or malicious activities. You agree to provide accurate, truthful project specifications and asset content.
6. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any legal disputes or proceedings arising out of these terms shall fall under the exclusive jurisdiction of the courts located in Dehradun, Uttarakhand, India.
